Graziadio, Jr., co-founder of Imperial Bank and a generous benefactor to many charities and universities, including Pepperdine UniversityÂ’s Graziadio School of Business and Management, succumbed to a long struggle with cancer on June 6 at his home on the Palos Verdes Peninsula with his family present.

“In losing Mr. Graziadio we have lost a much-loved member of the Pepperdine family,” noted Pepperdine president Andrew K. Benton. “His vision and leadership propelled the Graziadio School to a preeminent position among business school worldwide. He has had a profound impact at Pepperdine and he will be missed in countless ways.”

Mr. Graziadio was a tireless entrepreneur, banker and community sponsor who lived his motto: “TNT – Today, Not Tomorrow.” He was often quoted as saying that he was constantly driven to do more and to always do better. He believed that if better was possible, then good was not enough.

Mr. Graziadio was a legendary real estate developer and banker in Southern California for more than 50 years. The Vernon, Connecticut, native came to California during World War II and in the early 1950s formed a real estate development company with George Eltinge. The “Two Georges,” as they were known, developed shopping center properties throughout the United States.

In 1963, with $1.25 million in private investment and a belief that they could offer the Los Angeles business community a better “business bank,” Mr. Graziadio and Mr. Eltinge formed Imperial Bank, which became Imperial Bancorp in 1968. The bank grew to $8 billion in assets, solely through internal growth and without acquisitions, with $600 million in capital and reserves. Imperial Bank had a national presence in emerging growth industries in the 1990s with offices in Phoenix; Boston; Austin; Dallas; Denver; Reston, Virginia; Raleigh/Durham, North Carolina; and Kirkland, Washington. Imperial Bank’s entertainment division was the largest financer of feature motion pictures in the world. Mr. Graziadio served as chairman of the board, CEO and president. Former California governor Goodwin J. Knight served on the original bank board of directors.

In November 2000, Imperial Bancorp merged with Comerica, Inc. in an exchange of shares valued at $1.3 billion. The combined assets are now approximately $50 billion with market capital at approximately $11 billion. Mr. Graziadio was serving as Chairman of Comerica Bank-California until his death.

He was past president and founding director of the Torrance Memorial Medical Center Health Care Foundation where the radiology center is now named the Graziadio Radiology Center. In 1996, Pepperdine University renamed its business school the George L. Graziadio School of Business and Management following the largest business school endowment in America at the time by Mr. Graziadio and his wife Reva. Mr. Graziadio created the Graziadio School Board of Visitors and served as its chairman.

The Graziadio School is the largest business school west of Chicago and is ranked among the Top 20 in the nation for its Executive MBA and Fully Employed MBA programs. More than 2,300 mid-career business professionals currently attend The Graziadio School at seven campuses throughout California.

During the past five decades, Mr. Graziadio had been honored by dozens of non-profit organizations that he supported philanthropically. He often said, “You earn your living by working, your earn your life by giving.” In April 2002, he received the prestigious Horatio Alger Award in Washington, D. C., joining other great Americans such as President Dwight D. Eisenhower, Secretary of State Colin Powell, Senator Robert Dole, and Oprah Winfrey. His many honors include: The Ellis Island Medal of Freedom; the Grande Ufficiale Award in the Order of Merit of the Republic of Italy; Americanism Award and the Good Scout Award from the Boy Scouts of America; the Eddy Award from the Los Angeles Economic Development Agency; the President’s “E” Award from the U. S. He was one of only a handful of amateurs who played in 30 consecutive Bob Hope Desert Classic golf tournaments.

His wife of 59 years, Reva, two daughters, Mary Lou Area, Alida Calvillo, and one son, G. Louis Graziadio, III, survive Mr. Graziadio. There are nine Graziadio grandchildren and six great grandchildren.

Federal and New York State Courts Reaffirm That No Inherent Fiduciary Duty Exists Between Insurance Companies, Brokers and Clients

The insurance industry continues to defend itself against lawsuits alleging the existence of a fiduciary duty between insurance companies, insurance brokers and clients. Lisa Shrewsberry, a partner with the New York law firm of Traub Eglin Lieberman Straus, recently defended two such cases in both federal and New York state courts. Both courts agreed with Shrewsberry's argument that under New York law, insurance companies and their representatives generally do not owe a fiduciary duty to those insure. The relationship between insurer or broker and client is a common commercial relationship, even if the company or its broker maintains a long-standing personal relationship with the client.

TRAUB EGLIN LIEBERMAN STRAUS LLP (TELS) is pleased to announce that in two recent cases argued in New York, TELS attorney Lisa L. Shrewsberry was able to uphold the principle that the relationship between an insurance company or its broker and an insured is that of a common commercial relationship, not rising to the level of a fiduciary.

The first case, filed in U. S. District Court, Southern District of New York, alleged misconduct by TIAA-CREF and its related entities in the sale of a single life annuity to a 70 year-old university professor. The professor, who suffered from severe emphysema, retired with approximately $1.3 million in retirement benefits. After retirement, the professor decided to purchase a single life annuity without a guaranteed payout period or death benefit. Such an annuity provides greater monthly income than similar annuities with those features built-in. Approximately six months after retirement, the professor passed away.

The executrix of the professor's estate subsequently sued TIAA-CREF, alleging that the insurance company should have prevented the professor from purchasing that type of annuity. In light of her deteriorating health, the suit alleged, TIAA-CREF should have recognized that the annuity was not in her best interests. The Plaintiff also alleged that the issuer of the annuity recognized a substantial windfall upon the death of the annuitant (the professor), and that they breached a fiduciary duty by selling the annuity contract to her.

Lisa Shrewsberry of TELS then filed a motion to dismiss for failure to state a claim upon which relief might be granted. In the motion, Ms. Shrewsberry argued that, under New York law, insurance companies and their representatives generally do not owe a fiduciary duty to those they insure. While a fiduciary duty can be created, even in certain arms-length transactions, an active attempt by the insurance company to create such a relationship is required.

As part of her motion, Shrewsberry argued that an annuitant purchasing a single life annuity is presumed to know that he might pass away before receiving substantial benefits of the policy. Ms. Shrewsberry also pointed towards Plaintiff's own evidence that the professor, who had a PhD and taught in universities for more than 30 years, was capable of understanding the repercussions of her actions, and that she was not too incapacitated to engage in arms-length contractual negotiations. Judge Deborah A. Batts, who presided over the case in Federal court, agreed. She found that no fiduciary duty existed, and dismissed the complaint in its entirety.

In another case, Ms. Shrewsberry represented an insurance broker who was accused of breaching a fiduciary duty. The Plaintiff filed suit against the broker and his attorneys when the Plaintiff's $700,000 life insurance policy lapsed. The policy was originally purchased in 1989, and was owned by an irrevocable life insurance trust (ILIT). In 1999, the ownership of the policy was to be transferred to a second trust. The transfer never took place and, only one year later, the policy lapsed for non-payment of premium. The Plaintiff's poor health prevented him from simply reinstating the policy.

The Plaintiff then filed suit, alleging that the insurance broker, with whom he had a close relationship for 40 years, should have ensured that the change of ownership was effected, and should have prevented the policy from lapsing. Ms. Shrewsberry countered by filing a motion for summary judgment, arguing that there was no fiduciary duty between the broker and the Plaint ff.

Under New York law, an insurance broker has a duty to obtain insurance coverage requested by the client within a reasonable time, or to inform the client of the inability to do so. There is generally no duty to continue to advise the client, as the client is ordinarily in a better position to know his own financial situation and insurance needs. Therefore, the relationship between broker and client is an ordinary commercial relationship, not one involving a fiduciary duty.

Ms. Shrewsberry went on to argue that even though the Plaintiff and broker were longstanding friends, no fiduciary duty existed between the two. Justice Steve Jaeger heard all arguments, and granted Ms. Shrewsberry's motion for summary judgment. Justice Jaeger agreed that, although the insurance broker attempted to facilitate the transfer of ownership of the policy, there was nothing more he should have done. In granting the motion, Justice Jaeger rejected the Plaintiff's claims that the broker should have known when the policy was about to lapse and should have prevented the lapse. Since the ultimate cause of the lapse was the Plaintiff's failure to pay the premiums, the Plaintiff was ultimately responsible.

Both of these cases reflect different ways that the "fiduciary duty" argument is used to assign blame when the purchaser of insurance is actually the responsible party. As both Plaintiffs discovered, New York law clearly spells out that the relationship between an insurer or its representative and the customer does not automatically rise to the level of fiduciary.

The case involving the insurance company was Vera Muller-Paisner v. TIAA-CREF (U. S. District Court, Southern District of New York, Index No. 03 Civ. 6265). The second case was Michael Wolfe v. Tannenbaum, Dubin & Robinson LLP (Supreme Court of the State of New York, Nassau County, Index Number 014600-01).

The petition draws much-needed attention to the problem of co-infection with HIV/AIDS and malaria, which are the most prevalent infectious diseases in sub-Saharan Africa. Supporters are urging Ministers of Health in malaria endemic countries, heads of agencies of bilateral and multilateral initiatives, donors and an array of other entities to honor their commitments and act jointly on the two diseases. Thousands of activists, academics, implementers, physicians, private sector partners, and people living with HIV/AIDS joined the call for action at the XVII International AIDS conference in Mexico City, prompting a continued effort concluding Saturday in Dakar.

"Many of the four million lives lost to malaria and HIV/AIDS every year could be saved by more effective integrated prevention and treatment programs," said Yvonne Chaka Chaka, Goodwill Ambassador for UNICEF and the Roll Back Malaria Partnership. "If we collaborated more and competed less, we could work toward more innovative solutions that tackle multiple diseases. Campaigns like one I recently took part in offer potential solutions."

Chaka Chaka was among the hundreds of volunteers engaged in a pioneering integrated program last month in rural Kenya. Almost 50,000 people - or more than 80% of the targeted population in the selected region - were tested for HIV in only one week. Tools and techniques for protection from malaria, HIV and water-borne diseases were offered as an encouragement to every participant, while helping move communities beyond the stigmas often associated with testing. Although the consequences of co-infection can be severe for anyone, malaria and HIV interactions are particularly dangerous for pregnant women and children.

The complexity of co-infection demands effective management and strengthening of health care delivery systems. Multiple disease approaches are life-saving, efficient and offer an opportunity to ease the burden on community health care workers and strained health infrastructure.

Salt Lake City Mayor Rocky Anderson hadn't until he was asked to welcome the crowd at Friday's opening session. "We just drove down to BYU law school and noticed XanGo's incredible presence at Thanksgiving Point," Anderson said. "It is a company that has just skyrocketed in just three years and along with that is a huge distributor network."

XanGo (pronounced Zango) has more than 400,000 independent distributors worldwide and employs more than 500 workers in Utah. The privately held company won't discuss its balance sheet, but Nutrition Business Journal ranked XanGo's U. S. sales No. 5 - ahead of NuSkin and behind veteran direct sales companies Avon, Alticor (formerly Amway), Mary Kay Cosmetics and HerbaLife.

"We're right up there with the big boys," says spokesman Bob Freeze.

That much is reflected in the spectacle of the two-day convention. Inside a convention center wrapped in XanGo orange, distributors are being treated to Bill Gates-style stage shows -- the company has its own theme song - motivational videos, a huge store of XanGo swag, and a raffle for cash prizes, a XanGo Vespa and a 2006 Ford Mustang GT. Today, U. S. Sen. Orrin Hatch of Utah -- the author of dietary supplement legislation and a rock star in the health-food world - is expected to speak.

This is Justin Banner's first XanGo convention. Before joining the company, Banner earned an MBA from Purdue University and worked at General Electric. "I'd go to their meetings and people don't clap, people don't get excited. . . . The momentum of this company is incredible."

Adds Anderson: "They really crank the crowd up."

This year, the company is launching an online store and taste-testing some new products - XanGo ice cream, a caffeine-free sports energy drink, a chocolate truffle and hard candies, all made in conjunction with Wild Flavors, the German-based company that works with the makers of Capri-Sun and SoBe.

"These aren't two guys who mixed up some potion in their bathtub," said Freeze of founders Joe and Gordon Morton.

But they are celebrities with the orange-clad crowd.

"People come to convention to get recharged, and we see a huge jump in sales immediately after," Freeze said. "But a lot of people come just to get on stage with the founders."

Prepare for Success
January 1st is the biggest day of the year for gym membership sign ups and marketing. Suddenly everyone seems to be pumping iron, working out, and eating rice cakes. In truth, by jumping on the January gym bandwagon, people can set themselves up for failure.
